If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and DeepNesting ("Company," "we," "us," or "our").
DeepNesting is an AI-powered nesting and cutting optimization SaaS platform designed for CNC, laser, plasma, and other manufacturing workflows. The Service provides automated part layout, material optimization, toolpath generation, and related features to help users minimize material waste and maximize production efficiency. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
The Service, including all software, algorithms, designs, text, graphics, and other content provided by DeepNesting, is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of all files, designs, and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process and store that content solely for the purpose of providing the Service to you. We do not claim ownership of your User Content.
Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, but refunds are only provided in accordance with our refund policy. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of your access to the Service.
To the maximum extent permitted by applicable law, DeepNesting and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service. In no event shall our total liability exceed the amount you have paid to us in the twelve (12) months preceding the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may request export of your User Content for up to thirty (30) days following termination, after which we may delete it. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through the Service. Your continued use of the Service after any changes to the Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
